Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On June 14, 2021, Regulus Therapeutics Inc. (the Company) filed with the Secretary of State of the State of Delaware a Certificate of Amendment (the Charter Amendment) of its Amended and Restated Certificate of Incorporation to increase the authorized number of shares of the Companys common stock from 200,000,000 to 400,000,000 shares, effective June 14, 2021. The Charter Amendment was approved by the Companys stockholders at the 2021 Annual Meeting, as described below under Item 5.07.
A copy of the Charter Amendment is filed as Exhibit 3.1 to this report.

Submission of Matters to a Vote of Security Holders.
The 2021 Annual Meeting of Stockholders of the Company (the 2021 Annual Meeting) was held on June 14, 2021. As of April 16, 2021, the record date for the 2021 Annual Meeting, 74,923,660 shares of common stock were issued and outstanding. A summary of the matters voted upon at the 2021 Annual Meeting and the final voting results are set forth below.
Proposal 1. Election of Directors
The ten persons listed below were elected as directors at the 2021 Annual Meeting, each to serve until the Companys 2022 Annual Meeting of Stockholders and until their respective successors are duly elected and qualified. The final voting results were as follows:

Proposal 4. The Companys stockholders ratified the selection by the Companys Audit Committee of the Board of Ernst & Young LLP as the Companys independent registered public accounting firm for the fiscal year ending December 31, 2021. The final voting results were as follows:

AMENDED AND RESTATED CERTIFICATE OF INCORPORATION
REGULUS THERAPEUTICS INC.
REGULUS THERAPEUTICS INC., a corporation organized and existing under and by virtue of the General Corporation Law of the State of Delaware (the Company), does hereby certify:
FIRST: The name of the Company is Regulus Therapeutics Inc.
SECOND: The date on which the Companys original Certificate of Incorporation was filed with the Secretary of State of the State of Delaware is January 2, 2009.
THIRD: The Board of Directors of the Company (the Board), acting in accordance with the provisions of Sections 141 and 242 of the General Corporation Law of the State of Delaware (the DGCL), adopted resolutions approving and deeming advisable an amendment to the Companys Amended and Restated Certificate of Incorporation (the Restated Certificate), as follows:
Paragraph A of Article IV of the Restated Certificate is hereby amended and restated to read in its entirety as follows:
A. The Company is authorized to issue two classes of stock to be designated, respectively, Common Stock and Preferred Stock. The total number of shares which the Company is authorized to issue is 410,000,000 shares. 400,000,000 shares shall be Common Stock, each having a par value of $0.001. 10,000,000 shares shall be Preferred Stock, each having a par value of $0.001.
FOURTH: The foregoing amendment was submitted to the stockholders of the Company for their approval, and was duly adopted in accordance with the provisions of Section 242 of the DGCL.
FIFTH: This Certificate of Amendment shall become effective on June 14, 2021 at 4:00 p.m. Eastern Time.
